      董事是否违反勤勉义务判断之实质是判断董事行为是否合理,而董事行为合理性判断之实质,是评价董事行为是否存在过失的问题。理性人标准作为过失侵权之法定标准,基于路径依赖得以进入公司法领域,而伴随着价值指引和制度进化,出现了独立于理性人标准的商业判断规则,但两者之间仍存在着一般与特殊的关系。商业判断规则对决策程序和实体结果的划分实现了司法克制与董事免责的双重目的,进而解决了法院评价能力不足和董事风险激励的难题,以维护董事会之决策中心地位,保持社团独立性和社团民主性。
英文摘要:
      The essence of the judgment of directors′ duty of care is to judge whether the director's behavior is reasonable, and the essence of the judgment of reasonable behavior is to evaluate whether the director's behavior is at fault. The test of reasonable person, as the legal standard for negligence tort, is adopted in the field of corporate law. With value guidance and system evolution, business judgment rule, a special judgment standard, have emerged in corporate law area, but there is still a close relationship between the test of reasonable person and business judgment rule. Business judgment rule divides the procedures and results of directors′ decisions, which is significant for judicial restraint and director incentives. The purpose of business judgment rule is to maintain the board centralism, and to maintain the independence and democracy of the association.
